The Firm has a formidable private equity practice and has represented some of the largest private equity firms in the world in establishing their India presence and in making investments. The Firm’s practice in the private equity sector has involved advising on structures for efficient investment routing and exit, advising on tax planning, advising on regulatory procedures required for making an investment (and assisting in obtaining such approvals), negotiating the terms and conditions of individual investments with portfolio companies, conducting due diligences, and providing advice from time to time on monitoring and maintaining investments. Having worked with some of the largest and premier global private equity firms, the Firm is sensitive to the differences in approach required for different types of investments including listed, unlisted, PIPE deals, buyout deals, and also with regard to capital requirements at various stages in the life cycle of the portfolio company. Further, given the relatively limited instruments available for investment in Indian companies coupled with the complex regulatory backdrop, some of the key challenges for private equity firms is to be able to achieve efficient financing, entry and exit structures including to achieve the requisite IRR.
