sector-specific funds. In this regard, the Firm assists its clients in choosing the appropriate legal vehicle
for the same, as well as drafting and reviewing the offer documents for potential investors and related
documentation, such as subscription agreements, private placement memoranda, administration
agreements, investment management agreements, investment advisory agreements, custodian
agreements, etc. including structuring carried interests, claw-backs, sharing of carried interest with
employees, and assisting clients in obtaining applicable registrations with the Securities and Exchange
Board of India.

planning, advising on regulatory procedures required for making an investment (and assisting in
obtaining such approvals), negotiating the terms and conditions of individual investments with portfolio
companies, conducting due diligences, and providing advice from time to time on monitoring and
maintaining investments.

ranging from structuring issues with regard to the setting up of the mutual fund business, advice on the
regulatory approval process, ongoing advice for launching of new products and on the sale of such
